1. Acceptance of Terms

By accessing or using BillDetect's services at billdetect.com (the "Service"), you ("Advocate," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, do not use the Service.

BillDetect is designed for use by patient advocates, certified professional coders (CPCs), medical billing specialists, and other healthcare billing professionals who submit and analyse medical bills on behalf of their own clients ("Clients"). By checking the consent box on our intake form and submitting a Client's medical bill, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy, and that you have obtained all necessary authorisation from your Client as described in Section 3.

2. Description of Service

BillDetect is a medical billing error-detection platform for professional use. We provide:

Our analysis checks each submitted bill against the following ten (10) federal laws and regulatory frameworks:

BillDetect is NOT and does NOT provide: legal advice or representation; medical advice or clinical opinions; financial or tax advice; guarantees of any outcome or recovery; insurance adjudication or payer negotiations; or any service requiring a professional license we do not hold. Our analysis is performed using artificial intelligence tools and may not be complete, accurate, or free from error.

3. Eligibility and Authorised Use

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that:

4. Fees and Payment

4.1 Free Bill Scan

The initial scan of each Client bill — which returns the total estimated savings identified — is provided free of charge. No payment information is required to receive the estimated savings summary.

4.2 Unlock Fee

To access the full error report and dispute letter for a given Client bill, a one-time flat fee is required:

The applicable unlock fee will be displayed before any payment is requested. Payment is processed securely through Stripe, Inc. We do not store your payment card information.

4.3 Subscription Plans

We may offer subscription-based plans for Advocates managing multiple Client cases. Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time through your account settings or by contacting hello@billdetect.com. We reserve the right to change subscription pricing with 30 days written notice.

4.4 Taxes

You are responsible for any applicable taxes, duties, or levies arising from your purchase of the Service. All fees are quoted in United States Dollars.

5. Refund Policy

All payments for the unlock fee are final and non-refundable once the full error report and dispute letter have been delivered. We will consider refund requests only where: you were charged more than once for the same bill analysis due to a technical error on our part; you did not receive the report or letter within 24 hours and our support team was unable to resolve the issue; or a material technical failure on our part prevented the report or letter from being generated.

Dissatisfaction with the findings — including disagreement with errors identified, dollar estimates, or a hospital's response to a dispute letter — does not constitute grounds for a refund. Contact hello@billdetect.com within 7 days of the payment date with payment confirmation and a description of the issue.

6. No Guarantee of Outcome

BillDetect provides tools and information to assist Advocates in disputing potential billing errors on behalf of their Clients. We make absolutely no guarantee, representation, or warranty regarding: whether any identified issue is an actual billing error; whether a dispute will be successful; whether any amount will be recovered, refunded, reduced, or credited; how a hospital, clinic, insurer, or collection agency will respond; or whether a Client's credit will be affected. Past results reported by other users of the Service do not guarantee similar results for you or your Client.

7. Accuracy and Limitations of AI Analysis

Our Service uses artificial intelligence technology to analyse submitted bills. You acknowledge and agree that:

You should exercise your own professional judgment in deciding whether to advise a Client to send a dispute letter, and should not represent our findings as a guaranteed or definitive audit.

8. Not Legal Advice — No Attorney-Client Relationship

Nothing in the Service, including the error report, the dispute letter, regulatory citations, or any communication from BillDetect, constitutes legal advice. No attorney-client relationship is formed between you, your Client, or BillDetect by use of the Service. If you or your Client require legal advice, please consult a licensed attorney in the applicable jurisdiction.

9. Your Responsibilities

By using the Service, you agree to:

10. Intellectual Property

The Service, including its software, design, content, prompts, analysis methodology, and branding, is owned by BillDetect and is protected by applicable intellectual property laws. The error reports and dispute letters we generate are licensed to you for use in connection with the specific Client bill submitted. You may not resell, sublicense, or commercially distribute any output of the Service outside the ordinary course of advising your own Clients.

11. Privacy and Health Information

Each submission will contain Protected Health Information (PHI) as defined under HIPAA. Our collection, use, and protection of PHI is governed by our Privacy Policy, which is incorporated into these Terms by reference. We operate as a Business Associate under HIPAA and maintain Business Associate Agreements with all vendors who process PHI. We do not sell PHI. We do not use PHI to train artificial intelligence models. We retain PHI for six years as required by HIPAA and then securely destroy it.

12. Third-Party Services

The Service relies on third-party service providers including payment processors, AI services, and PDF generation services. These providers have their own terms of service and privacy policies. We maintain Business Associate Agreements with providers who process PHI, but we cannot guarantee the performance, availability, or security practices of any third party.

13. Limitation of Liability

13.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BILLDETECT, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, DAMAGE TO CREDIT, MEDICAL COSTS, COLLECTION ACTIONS, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR THESE TERMS.

13.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless BillDetect and its officers, directors, employees, contractors, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the Service; your violation of these Terms; your violation of any applicable law or regulation; any false or inaccurate information you provided to us; any dispute between you and your Client; your representations to your Client regarding the Service; or any dispute between you (or your Client) and a healthcare provider, insurer, or collection agency.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO: WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that the Service will be uninterrupted, error-free, or free from viruses. We do not warrant that any error identified by our analysis is an actual billing error, or that any dispute letter will produce a favourable outcome.

16. Dispute Resolution

16.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at hello@billdetect.com and give us 30 days to attempt to resolve the issue informally.

16.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association or ADR Chambers under its then-current rules, rather than in court, except as provided in Section 16.4.

16.3 Class Action Waiver

YOU AND BILLDETECT EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU WAIVE ANY RIGHT TO A JURY TRIAL.

16.4 Exceptions

Nothing in this section prevents either party from seeking injunctive or equitable relief from a court for matters involving intellectual property infringement, data privacy violations, or emergency relief.

16.5 Governing Law and Venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts of the Province of Ontario, Canada.

17. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason including but not limited to: violation of these Terms, suspected fraudulent activity, suspected lack of Client authorisation, or discontinuation of the Service. Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and dispute resolution — shall survive.

18. Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice or liability. Any fee changes will be communicated on our website and will not affect orders already placed.

19. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and BillDetect regarding the Service.
